The two situations clients most often come with

Before a disagreement. Or after one begins.

01 / PREVENT

You need to agree in advance

When a new partner or investor joins the business, the ownership structure changes, roles are being divided, or you need to set rules on exit, decision-making and conflict resolution upfront.

The goal is to put the real agreements between people in writing, so they work not only while things are going well, but also if the parties' interests diverge.

02 / RESOLVE

A conflict has already arisen

A dispute can be between owners, partners or companies: over money, obligations, management, exiting the business or performance of a contract.

In these situations, it's essential to assess not only the legal position, but also the business consequences of each option. De Facto helps determine the most rational path: negotiation, settlement, revised agreements, one party's exit or further legal action.

How we work

From problem to a working solution

We review the options before choosing the route.

04

Negotiation & Implementation

We support negotiations, prepare documents and carry out the chosen solution.

If court representation is required, we bring in a specialist litigation lawyer.

Case study

When negotiation proved more effective than court

A company delivered goods, but the buyer failed to pay the outstanding balance. Reviewing the contract revealed a clause that could have significantly weakened the client's position in court.

Instead of going straight to litigation, we developed a negotiation strategy. A substantial part of the debt was recovered without lengthy court proceedings.

The company's contract system was then revised to reduce the risk of similar situations in the future.

Past results do not guarantee a similar outcome in other cases.

FAQ

Frequently asked questions

Do we need a shareholder agreement if everything is fine between the partners?

That's exactly the easiest time to set the rules. The scope and content of the agreement depend on the business structure and the relationship between the parties.

Can a corporate or commercial dispute be resolved without going to court?

Sometimes, yes. It depends on the documents, the parties' positions, the economics of the dispute and whether an agreement is possible.

Do you take part in negotiations?

Yes, where the specific project requires it.

What if the problem goes beyond one contract?

In that case, you may need Strategic Legal Mapping™, a comprehensive review of the business's legal structure.
